Minutes of a Regular Meeting of the Board
November 29, 2003

Secretary Richardson called the meeting to order at 10:41 a.m. The meeting was held in the conference room of KMSB/KTTU Television in Tucson, Arizona.

By acclamation, the Board approved the minutes as submitted for the Board Meeting of April 10, 2003 and the Membership Meeting of November 8, 2003.

Treasurer Eller reported total assets of $283,853.49 in various accounts.

On a motion by Member Sanders with a second by Member Ruikka, the Board approved the following motion:

That Members be allowed to pay a one time fee of $250.00 for a lifetime membership in the EB/ATW Alumni Association.

Passed Unanimously

After discussion, on a motion by Member Sanders and a second by Member Malcomb, the board approved the following motion:

That notice be given and the Board vote at the next meeting to revise Article VII, Section 2, SubSection D of the By Laws to read: Quorum: Five members of the Board of Directors shall constitute a quorum. No action can be taken by the Board at a meeting lacking a quorum.

Passed Unanimously

Member Malcomb briefed the Board Members on the proposal to memorialize Epsilon Beta of Alpha Tau Omega on the University of Arizona campus by participating in the "Heritage Tree" program of the University of Arizona Foundation. The plan is to adopt the Cork Oak tree near the Engineering Building. It has special meaning to ATW members over several decades.

On a motion by Member Sanders and a second by Member Malcomb, the following motion was made:

That $5,000 be taken from the investment account and donated to the University of Arizona Foundation Heritage Tree program and that the Cork Tree near the Engineering Building be adopted by EB/ATW and memorialized with a plaque with wording to be determined by Member Sanders and Secretary Richardson.

Passed Unanimously

There was no Old Business.

Under New Business, Treasurer Eller recommended to the Board that it pass a Corporate Resolution involving the investment account we hold with Smith Barney/CitiGroup. The purpose of the Resolution is to designate the individual (s) who have the authority of the Board to make investment decisions.

On a motion by Treasurer Eller and a second by Member Warren, the following motion was made:

That the Board authorize Member Malcomb to make investment decisions regarding the Board funds at SmithBarney/CitiGroup and that the officers sign a resolution to that effect and provide that to SmithBarney/CitiGroup.

Passed Unanimously

Also under New Business, Secretary Richardson suggested to the Board that it consider further changing Article VII, Section 2 of the ByLaws to allow Board members to participate in Board meetings via teleconference.

By acclamation, the Board agreed to consider such a change at its next meeting.

By Acclamation, Member Dwight Eller was elected Treasurer of the Board for 2004.

By acclamation, Member Bob Richardson was elected Secretary of the Board for 2004.

Members Bert Ratia and Tim Abeyta were nominated as Vice President of the Board for 2004. Member Ratia declined the nomination. Member Abeyta was elected by acclamation Vice President of the Board for 2004.

By acclamation, Member Bert Ratia was elected President of the Board for 2004.

After consideration, the Board set the next meeting for April 3, 2004, at 10 a.m. to be held at the same location.

Treasurer Eller advised the Board that the Internal Revenue Service had sent back our 2003 990EZ form, saying we would submit instead a regular 990 form. The individual who handles our taxes did that and sent it to the IRS at no extra cost to us.

There being no additional business, on a motion by Brother Sanders with a second by Member Warren, the meeting adjourned at 11:26 a.m.
